Last Updated: March 8, 2024 These Terms of Service form a binding legal contract (“Agreement”) between you and Rideit Inc., including its parents, subsidiaries, representatives, affiliates, officers, and directors (referred to as “Rideit,” “we,” “us,” or “our”) that governs your use of Rideit’s applications, websites, technology, facilities, and platforms (collectively, the “Rideit Platform”). IMPORTANT NOTICE: THIS AGREEMENT INCLUDES PROVISIONS THAT DICTATE HOW DISPUTES BETWEEN YOU AND RIDEIT ARE RESOLVED (SEE SECTION 17). WITH LIMITED EXCEPTIONS, THESE PROVISIONS REQUIRE YOU TO: (1) FOREGO YOUR RIGHT TO A JURY TRIAL, AND (2) ADDRESS ANY CLAIMS AGAINST RIDEIT THROUGH BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, GROUP, OR REPRESENTATIVE ACTION OR PROCEEDING. AS A DRIVER OR APPLICANT FOR DRIVING, YOU ARE GIVEN THE OPTION TO OPT OUT OF ARBITRATION FOR CERTAIN CLAIMS AS DETAILED IN SECTION 17. By agreeing to this Agreement, and/or by utilizing or accessing the Rideit Platform, you expressly acknowledge your understanding of this Agreement (including the dispute resolution and arbitration provisions in Section 17) and accept all its terms. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MUST NOT USE OR ACCESS THE RIDEIT PLATFORM OR ANY SERVICES OFFERED THROUGH THE RIDEIT PLATFORM. If you use the Rideit Platform in a country other than your residence, you agree to comply with Rideit’s terms of service applicable to that country. If you are using the Rideit Platform to access or use Rideit Business services on behalf of an organization that has a contract with Rideit, and not as a Rider or Driver, your use is subject to the contract between Rideit and your organization. Your use of the Rideit Platform also signifies your agreement to abide by our Community Guidelines, which are incorporated into this Agreement. The Rideit Platform The Rideit Platform offers a marketplace where individuals seeking transportation to specific destinations (“Riders”) can find transportation options. One of these options includes requesting a ride from rideshare drivers who are headed towards or through those destinations (“Drivers”). Users of the Rideit Platform, excluding any Excluded Individuals, which include Drivers, Riders, and other participants, are collectively referred to as “Users.” The driving services provided by Drivers to Riders and other transportation-related services offered by Drivers in connection with the Rideit Platform are termed “Rideshare Services.” “Rideit Services” includes any service provided by Rideit via the Rideit Platform (for clarity, Rideit Services does not encompass Rideshare Services or Third-Party Services). As a User, you authorize Rideit to match and/or re-match you with Drivers or Riders based on factors such as location, requested pickup location, estimated time to pickup, destination, User preferences, ride mode, driver mode, membership status, regulatory or third-party requirements, user statistics, and platform efficiency. Any decision by a User to offer or accept Rideshare Services is made at the User’s discretion. A separate agreement is formed between Drivers and Riders upon the acceptance of Rideshare Services by the Rider. Use of Rideit Services through the Rideit Platform might be governed by additional agreements specific to the service and market (“Supplemental Agreements”). Review these Supplemental Agreements carefully. IF YOU DO NOT AGREE TO THE TERMS OF A SUPPLEMENTAL AGREEMENT, YOU SHOULD NOT RENT OR UTILIZE RIDEIT SERVICES IN THAT MARKET. In case of any conflict between this Agreement and a Supplemental Agreement, the terms of this Agreement prevail unless the Supplemental Agreement explicitly states otherwise. Modifications to the Agreement Rideit reserves the right to modify this Agreement's terms and conditions. Such modifications are binding upon your acceptance of the modified Agreement. Rideit also reserves the right to change information referenced in hyperlinks from this Agreement from time to time, and such modifications become effective upon posting. Continued use of the Rideit Platform following such changes indicates your acceptance of the changes. Unless material changes are made to the arbitration provisions, you acknowledge that modifications to this Agreement do not grant a renewed chance to opt out of arbitration (if applicable). Rideit Terms of Service: Key Sections Eligibility The Rideit Platform is exclusively for individuals who possess the legal capacity and authority to enter into this Agreement and can fully comply with its terms, conditions, and obligations. Access to the Rideit Platform is not available to users whose accounts have been temporarily or permanently suspended. You must not permit others to use your account, affirming you are its sole authorized user. The creation of a user account is mandatory for each user, with a strict policy of one account per individual. Rideit retains the right to deactivate any supplementary or duplicate accounts. Participating in specific Rideit programs or using certain Rideit services may require meeting additional eligibility criteria set by Rideit. By becoming a user, you confirm that you are at least 18 years old. However, parents or legal guardians of minors aged 16 or 17 may establish a user account for such minors under the conditions that: (a) the minor's use of the Rideit Platform is limited to accessing Rideit Services and/or Third-Party Services explicitly permitted under the relevant Supplemental Agreement, (b) you judge the services as appropriate for the minor, (c) compliance with all safety instructions and warnings is ensured, (d) the minor does not engage in any Rideshare Services unless accompanied by you or an authorized guardian, and (e) you communicate the terms of this Agreement to the minor. The creation of a user account for a minor signifies your consent to the Agreement on their behalf, confirms your and the minor's acceptance of the terms, and you assume responsibility for the minor’s use of the Rideit Platform as per this Agreement and any applicable Supplemental Agreements. Any violation of these terms or attempt by the minor to disclaim this Agreement will be your responsibility. Additionally, you affirm your authority to act on behalf of yourself and any other parents or guardians of the minor rider. Charges As a user, you acknowledge that requesting or utilizing Rideshare Services, Rideit Services, or Third-Party Services may incur charges (“Charges”) to you or to an associated organization, where applicable. Charges for Rideshare Services to riders or organizations include Fares and other applicable fees, tolls, surcharges, and taxes, detailed on your market’s Rideit Cities page (“Rideit Cities Page”), plus any optional tips to the Driver. Rideit holds the right to define and modify pricing, which is accessible on your market’s Rideit Cities Page or provided as a quote for a specific ride upon request. Price differentiation may occur based on the type of service requested as outlined on the Rideit Cities Page or within the Rideit Platform. It is your responsibility to review the Rideit Cities Page or the quoted price within the Rideit Platform and bear all Charges under your account regardless of your awareness of such Charges. Rideshare Service Fares (“Fares”): Fares may be quoted or variable, depending on the nature of the ride and adjustments for factors such as demand, actual trip variations, or misuse of the Rideit Platform. In addition to Fares, rides may incur Rideshare Service Fees and Other Charges including service fees, Prime Time charges, cancellation fees, damage fees, abuse fees, tolls, and other charges as applicable. Tips can be given to Drivers directly or through the Rideit Platform at your discretion. Charges Generally: Charges are facilitated through a third-party payment processor. Cash payments are largely prohibited except where explicitly allowed by Rideit. Your settlement of Charges through Rideit satisfies your payment obligation for the use of the Rideit Platform and its services. All Charges are final and non-refundable, barring legal requirements. Coupons or credits provided by Rideit are subject to specific terms and are non-transferable and non-redeemable for cash except as required by law. You are accountable for any and all Charges incurred under your account. This summary outlines key points regarding user eligibility and the structure of Charges on the Rideit Platform, emphasizing the importance of understanding and agreeing to these terms before participating in Rideit’s services. Rideit Terms of Service: Additional Provisions Driver Payments If you are a Driver, your payment for providing Rideshare Services will be governed by the terms specified in the Driver Addendum, which is an integral part of this Agreement between you and Rideit. Rideit Communications By agreeing to this Agreement or utilizing the Rideit Platform, you consent to receive communications from us, including from our affiliates or third-party partners, via the phone numbers or email you have provided. This may include emails, text messages, calls, and push notifications. Communications might be generated by automated systems and could encompass operational messages about your account or the use of the Rideit Platform, updates on new features, marketing promotions, and industry news. If your phone number changes or is deactivated, it is your responsibility to update your account information to avoid misdirected communications. Standard messaging charges by your mobile carrier may apply. To opt out of promotional emails, you can unsubscribe directly through the promotional email. To opt out of promotional calls or texts, you may text “END” to a specified number from the mobile device receiving the messages. Opting out of all texts or calls from Rideit (including operational messages) may impact your use of the Rideit Platform or services. For assistance or more information on communications preferences, please refer to our Help Center. Your Information "Your Information" refers to any information you provide, post, or publish on the Rideit Platform, or that is provided on your behalf, including but not limited to profile information and communications with other users. You authorize us to use Your Information to create a user account for accessing the Rideit Platform and participating in Rideshare Services. Our collection and use of personal information are detailed in Rideit’s Privacy Policy. You are responsible for ensuring Your Information is accurate, complete, and kept up-to-date. You grant us a non-exclusive, global, perpetual, irrevocable, royalty-free, sublicensable license to use Your Information as outlined in this Agreement and our Privacy Policy. Promotions, Referrals, and Loyalty Programs Rideit may, at its discretion, offer promotions, referral programs, and loyalty programs with varying features to users or potential users. We reserve the right to withhold or deduct credits or benefits if we determine or suspect that their acquisition was in error, fraudulent, illegal, or in violation of the promotion terms or this Agreement. Rideit may modify, cancel, or discontinue any promotions or programs at its sole discretion without notice. Participation in Rideit's Referral Program is subject to this Agreement and additional Referral Program rules. Restricted Activities In relation to your use of the Rideit Platform and participation in Rideshare Services, you agree not to engage in activities such as impersonation, harassment, violation of laws, or any action that interferes with the Rideit Platform. You shall not misuse the platform for fraudulent, libelous, abusive, or illegal purposes. Your use of the platform should not infringe on third-party rights, and you are prohibited from posting harmful code or engaging in activities that could harm the Rideit Platform or users' interests. You must not attempt to reverse engineer the platform, misuse user information, or engage in activities that discriminate or violate the privacy and rights of others. Violations or suspected breaches of security must be promptly reported to Rideit. These additional provisions outline the responsibilities and expectations for Rideit drivers, the nature of communications from Rideit, the management of user information, and the guidelines for conduct on the Rideit Platform. Adhering to these terms ensures a safe, respectful, and enjoyable experience for all users of the Rideit Platform. Driver Representations, Warranties, and Agreements As a Driver offering Rideshare Services through the Rideit Platform, you confirm, guarantee, and agree that: You hold a valid driver's license and are legally and medically cleared to operate a motor vehicle. You possess all necessary licenses, approvals, and authority to offer transportation to Riders in every jurisdiction where you provide Rideshare Services. The vehicle you use for providing Rideshare Services is owned by you or you have the legal right to operate it. The vehicle is in good working condition, meets industry safety standards, complies with all relevant statutory and motor vehicle department requirements, and any safety recalls have been addressed in accordance with the manufacturer's instructions. You will avoid reckless driving, ensure the vehicle is safe for driving, not allow unauthorized individuals to join you in the vehicle while offering Rideshare Services, not drive under the influence of drugs or alcohol, and not engage in any behavior that could endanger the safety of the Rideit community or the public. You will provide Rideshare Services only with the vehicle that has been reported to and authorized by Rideit, will not carry more passengers than the vehicle safely seats (up to a maximum of seven passengers), and adhere to all vehicle-related safety requirements. While offering Rideshare Services, you will not act as a public or common carrier or taxi service, solicit street hails, charge for rides outside of the Agreement provisions, demand cash payments from Riders, or engage in any activities inconsistent with your obligations under this Agreement. You will not attempt to defraud Rideit or Riders on the Rideit Platform. If suspected of fraudulent activities, we may withhold applicable payments for the rides in question and pursue any available legal actions. You commit to not discriminating against Riders with disabilities and agree to familiarize yourself with and adhere to Rideit’s Anti-Discrimination Policies, including making reasonable accommodations as required by law and our policies regarding service animals and mobility devices. You consent to Rideit obtaining information about you, including criminal and driving records, and agree to provide any further authorizations to facilitate our access to such records during the term of this Agreement. You maintain a valid liability insurance policy that covers the operation of the vehicle you use to provide Rideshare Services, agree to provide proof of such insurance upon request, and understand that information about your insurance may be shared with Rideit. You will fulfil all applicable tax obligations derived from your provision of Rideshare Services and any payments you receive. You agree to cooperate with Rideit in providing information regarding Rider complaints, law enforcement inquiries, or any other incidents. Intellectual Property All intellectual property rights in and related to the Rideit Platform are owned exclusively by Rideit. This includes rights to patents, copyrights, trademarks, service marks, trade dress, and other protections for intellectual property, as well as the right to file for protection of these rights. Trademarks, logos, and service marks displayed on the Rideit Platform belong to their respective owners. Submissions provided by you to Rideit are non-confidential and become Rideit's property, granting Rideit unrestricted use and dissemination of these submissions without compensation to you. If you are a Driver, Rideit grants you a limited, revocable, non-exclusive license to use Rideit's trademarks (the "Rideit Marks") solely in connection with the provision of Rideshare Services, as per the terms of this Agreement. This license is non-transferable and does not permit sublicensing without Rideit’s explicit written consent. You agree to use the Rideit Marks in accordance with Rideit’s brand guidelines and to cease use upon Rideit’s request if deemed non-compliant. You acknowledge Rideit’s ownership of the Rideit Marks, including all associated goodwill, and that your use of the Rideit Marks benefits Rideit. You agree not to use the Rideit Marks in any way that could cause confusion, infringe on Rideit's intellectual property rights, or violate the terms of this license. Violation of these provisions may lead to termination of the license, legal action, or other enforcement measures. Rideit respects intellectual property rights and expects the same from its users. If you believe your copyrights have been infringed upon on the Rideit Platform, please follow our copyright complaint process. Driver Representations, Warranties, and Agreements As a Driver providing Rideshare Services via the Rideit Platform, you affirm, warrant, and agree to the following conditions: You have a legitimate driver's license, are medically and legally fit to operate a vehicle, and possess all required licenses, approvals, and authority to offer transport services to Riders in every area where you operate. The vehicle utilized for Rideshare Services is owned by you or you possess the legal authority to operate it. The vehicle is in sound operating condition, adheres to industry safety standards, meets all relevant statutory and department of motor vehicle requirements, and complies with manufacturer guidelines for safety recalls. You will refrain from reckless driving or endangering safety in any manner, will not permit unauthorized individuals in the vehicle during service, will not drive under the influence of substances, and will uphold the safety of the Rideit community and public. You commit to providing Rideshare Services exclusively with the vehicle that is registered with and authorized by Rideit, ensuring it doesn’t exceed passenger capacity limits, and adhering to all vehicle safety regulations. You will not impersonate as a public or common carrier or taxi service, solicit street hails, charge riders outside of the agreed terms, demand cash payments, or engage in any activity conflicting with this Agreement. You will avoid fraudulent practices towards Rideit or Riders. Suspected fraudulent activities may lead to withheld payments for disputed rides and potential legal actions. You commit to non-discrimination against Riders with disabilities, adhering to Rideit's Anti-Discrimination Policies, making reasonable accommodations in line with our Service Animal Policy and Wheelchair Policy. You consent to Rideit obtaining your personal information, including criminal and driving records, and will provide further authorizations as needed throughout the Agreement term. You maintain appropriate liability insurance for the vehicle used in Rideshare Services and will provide proof upon request, understanding that Rideit may require information about your insurance. You will fulfill all applicable tax obligations derived from your Rideshare Services provision and any payments received. You agree to cooperate with Rideit in resolving Rider complaints, responding to law enforcement inquiries, or addressing incidents. Intellectual Property All intellectual property rights in the Rideit Platform are exclusively owned by Rideit. This encompasses rights across patents, copyrights, trademarks, service marks, trade dress, and similar protections globally, including the rights to seek protection for these rights. Trademarks and logos displayed on the Rideit Platform belong to their respective owners. By providing submissions to Rideit, you grant Rideit an unrestricted right to use and disseminate these for any purpose without compensation. Drivers are granted a limited, revocable, non-exclusive license to display Rideit trademarks solely in connection with Rideshare Services as per this Agreement. This license does not allow sublicensing without Rideit’s explicit consent and must adhere to Rideit’s brand guidelines. You acknowledge Rideit’s ownership of its trademarks, including any goodwill associated, and agree that your use benefits Rideit. You agree not to use Rideit’s trademarks in any manner that could cause confusion or infringe on Rideit's intellectual property rights. Disclaimers Rideit does not provide transportation services and is not a transportation carrier. Decisions to offer or accept rides through the Rideit Platform are at the discretion of the Driver and Rider. Rideit does not guarantee the completion of any transportation services and has no control over the safety or quality of transportation resulting from the Rideshare Services. The Rideit Platform is provided "as is" without any warranties, express or implied. Rideit disclaims all warranties to the extent permitted by law, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Rideit does not warrant uninterrupted, secure, or error-free operation of its Platform or Services. Users assume all risk associated with the use of the Rideit Platform, and Rideit is not liable for the acts or omissions of users. Rideit advises users to exercise common sense and caution in all interactions through the Platform. Rideit is not responsible for the conduct of any user, online or offline, and does not provide insurance for personal belongings left in vehicles. This section outlines key disclaimers, intellectual property policies, and driver agreements for Rideit, emphasizing the platform's role, user responsibilities, and the nature of the service provided. Limitation of Liability IN NO EVENT SHALL RIDEIT, INCLUDING OUR AFFILIATES, SUBSIDIARIES, PARENT COMPANIES, SUCCESSORS, AND ASSIGNS, ALONG WITH EACH OF OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SHAREHOLDERS (REFERRED TO COLLECTIVELY AS “RIDEIT” FOR THE PURPOSES OF THIS SECTION), BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING DAMAGES FOR DELETION, CORRUPTION, LOSS OF DATA, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE RIDEIT PLATFORM, SERVICE INTERRUPTIONS, OR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES) ARISING FROM OR IN CONNECTION WITH THE RIDEIT PLATFORM, RIDEIT SERVICES, THE RIDESHARE SERVICES, OR THIS AGREEMENT, REGARDLESS OF THE CAUSE, INCLUDING NEGLIGENCE, EVEN IF WE OR OUR REPRESENTATIVES ARE AWARE OR HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. THE RIDEIT PLATFORM MAY ENABLE YOU TO REQUEST AND SCHEDULE TRANSPORTATION, GOODS, OR SERVICES FROM THIRD-PARTY PROVIDERS, BUT YOU ACKNOWLEDGE THAT RIDEIT BEARS NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY TRANSPORTATION, GOODS, OR SERVICES PROVIDED TO YOU BY THIRD PARTIES UNDER THIS AGREEMENT. NOTABLY, RIDEIT IS NOT LIABLE FOR DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON TRANSPORTATION, GOODS, OR SERVICES OFFERED BY THIRD PARTIES THROUGH THIS AGREEMENT OR ANY TRANSACTIONS OR RELATIONSHIPS BETWEEN YOU AND ANY THIRD-PARTY PROVIDER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. Term and Termination This Agreement becomes effective upon your acceptance and continues until terminated. It may be terminated by: (a) User, without cause, by providing seven (7) days’ written notice to Rideit; or (b) Either Party, immediately without notice, upon the other Party’s significant breach of this Agreement, including breaches of specific sections detailed herein. Additionally, Rideit may terminate this Agreement or deactivate your User account immediately under circumstances such as: (1) loss of eligibility to qualify as a User; (2) loss of qualifications to provide Rideshare Services or to operate the approved vehicle under relevant laws or regulations; (3) failure to meet Rideit’s rating or cancellation criteria; (4) if Rideit believes it's necessary to safeguard the Rideit community or third parties. In cases of potential or actual deactivation for reasons (1)-(4), you will receive notification of the issue with an opportunity to rectify the situation to Rideit’s satisfaction before permanent termination. For other breaches, you will be notified and given a chance to remedy the breach. If the breach is resolved timely and to Rideit’s satisfaction, the Agreement will not be permanently terminated. Certain sections will survive the termination or expiration of this Agreement, ensuring ongoing obligations and rights are maintained. Dispute Resolution and Arbitration Agreement (a) Agreement to Binding Arbitration Between You and Rideit: You and Rideit mutually agree to forgo your respective rights to have disputes resolved in court by a judge or jury and agree instead to resolve any disputes through arbitration, as detailed below. This Arbitration Agreement is governed by the Federal Arbitration Act (FAA). If the FAA is inapplicable, this Arbitration Agreement is governed by the laws of the State of Delaware, without regard to its choice of law or conflict of law principles. This Arbitration Agreement remains in effect even after the Agreement terminates or your relationship with Rideit ends. ALL ARBITRATION UNDER THIS AGREEMENT WILL OCCUR ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. This Arbitration Agreement applies to all Claims between you and Rideit, including affiliates, subsidiaries, parents, successors, assigns, officers, directors, employees, agents, or shareholders. It also applies to claims between you and Rideit’s service providers, such as background check providers and payment processors, who are intended beneficiaries of this Arbitration Agreement. (b) Prohibition of Class Actions and Non-Individualized Relief: You and Rideit agree to bring claims in arbitration against each other only in your individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall not have authority to consolidate more than one person’s claims or to preside over any form of a representative or class proceeding. (c) Representative PAGA Waiver: To the fullest extent permitted by law, you and Rideit agree not to bring a representative action under the Private Attorneys General Act of 2004 (“PAGA”) in any court or in arbitration, and for any PAGA claim, such disputes shall be resolved in arbitration on an individual basis only. (d) Rules Governing the Arbitration: Arbitrations are administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by the terms of this Agreement. The arbitrator is bound by the terms of this Agreement and can award the same individual remedies available in court. (e) Arbitration Fees and Awards: The payment of arbitration fees will be governed by the AAA Rules, with Rideit responsible for certain fees based on the circumstances. Each party is responsible for its own attorneys' fees except as provided by law or the AAA Rules. (f) Location and Manner of Arbitration: Arbitration hearings will take place in the county of your billing address for Riders or in the county where the Driver provides Rideshare Services, unless otherwise agreed by the parties or determined by the AAA Rules. (g) Exceptions to Arbitration: This Arbitration Agreement does not require arbitration of certain types of claims, including small claims and certain representative actions under PAGA, as detailed above. (h) Severability: If any part of this Arbitration Agreement is deemed unenforceable, the remainder remains in effect. (i) Opt-Out for Drivers: Drivers or Driver applicants who have not previously agreed to an arbitration provision in Rideit's Terms of Service have the option to opt out of the arbitration agreement for certain Driver Claims by providing written notice to Rideit within a specified period. (j) Optional Pre-Arbitration Negotiation Process: Before initiating arbitration, you and Rideit may agree to try to resolve disputes informally for 30 days. (k) Binding Effect; Third-Party Beneficiaries: This Arbitration Agreement is binding on you, Rideit, and certain third parties, including service providers and intended beneficiaries. This summary outlines the key elements of the Dispute Resolution and Arbitration Agreement, including the agreement to arbitrate disputes, the prohibition of class actions, the rules governing arbitration, and provisions related to arbitration fees, location, and exceptions to arbitration. It emphasizes the commitment to resolve disputes on an individual basis through arbitration rather than court proceedings. Confidentiality You agree not to utilize any technical, financial, strategic, and proprietary or confidential information related to Rideit's business operations or properties, including User information obtained through the Rideit Platform (names, pick-up locations, contact details, and photos, referred to as “Confidential Information”), for any purpose other than those explicitly permitted by this Agreement. You are prohibited from disclosing Confidential Information to third parties or storing it outside the Rideit Platform. As a Driver, you recognize that some Confidential Information may be protected by confidentiality laws like HIPAA, governing the privacy of health information. Disclosing the identity or location of Riders in a manner that could breach confidentiality laws may lead to legal penalties. You commit to protecting Rideit’s Confidential Information to prevent its unauthorized public disclosure, with certain exceptions provided for legally required disclosures, wherein you must promptly notify Rideit to seek protective measures. Relationship with Rideit As a Driver on the Rideit Platform, you acknowledge that your relationship with Rideit is that of independent contractors. This Agreement does not create an employment, joint venture, partnership, or agency relationship between you and Rideit. You have no authority to bind Rideit and should not represent yourself as an employee or agent of Rideit. Rideit does not control your provision of Rideshare Services, your work performance, or your vehicle maintenance. You decide your own work schedule and can accept or decline Rider requests as per Rideit’s cancellation policy. Rideit does not mandate displaying its branding on your vehicle nor wearing branded clothing. You may engage in other business activities, including services similar to those provided to Rideit, without restriction by Rideit. Third-Party Services The Rideit Platform may enable access to services from third parties, such as public transport booking, autonomous vehicle rides, vehicle rentals, and various personal and professional services (“Third-Party Services”). This Agreement covers your use of the Rideit Platform in connection with Third-Party Services. You understand that Third-Party Services may be governed by separate terms and conditions and pricing from the third-party providers. Rideit is not liable for Third-Party Services or actions of third-party providers. Any Third-Party Services accessed via the Rideit Platform are not endorsed or verified by Rideit. Conflicts between this Agreement and any Third-Party Terms are resolved in favor of this Agreement regarding your relationship with Rideit. General Provisions This Agreement, except as specified in Section 17, is governed by the laws of the State of California, without regard to its conflict of laws rules. Invalid or non-binding provisions of this Agreement will be replaced by valid and binding provisions with similar intended effects. This Agreement may be assigned by Rideit without your consent, but you may not assign it without Rideit’s written approval. Notices to Rideit must be sent via certified mail, while notices to you may be delivered through the Rideit Platform or to the contact details you provide. The Agreement constitutes the entire agreement between you and Rideit regarding its subject matter, superseding all prior agreements, whether oral or written.
